Terms of Service
Effective date and last updated: November 2, 2026
These Terms of Service (“Terms”) are a legal agreement between you and Noonum, Inc., a Delaware C Corporation, based in Redmond, Washington (“Noonum,” “we,” “us”).
1. About these Terms
Noonum is a thematic investment research service. You write a strategy objective in plain language. Noonum uses AI model providers to turn it into a ranked list of companies with reasoning and evidence.
These Terms cover the website (https://noonum.ai), the dashboard (https://dashboard.noonum.com), the documentation (https://docs.noonum.ai), the REST API (https://api.noonum.ai), the connector for AI assistants (https://mcp.noonum.ai/mcp), the Noonum plugin, which gives Claude, ChatGPT and Codex skills that use the connector, and the emails in which we send business and product updates and market insights (together, the “service”).
You accept these Terms when you create an account, connect Noonum to an AI assistant, or otherwise use the service. If you do not agree, do not use the service.
Organizations. If you use Noonum for an organization, such as your employer, you accept these Terms for it too, and “you” means both you and the organization.
Separate agreements. A separate agreement with Noonum that covers the service and is signed by both sides wins wherever it conflicts with these Terms. If your organization needs Noonum to process personal information on its behalf, contact hello@noonum.com about data processing terms.
Related pages. The Privacy Policy at https://noonum.ai/privacy explains how we handle personal information. For help, see https://docs.noonum.ai/base/agentic/mcp-client-setup or email hello@noonum.com.
2. Eligibility
- You must be 18 or older.
- If you accept these Terms for an organization, you confirm that you have the authority to make it legally responsible under them.
- You may use Noonum only where the law allows. Do not use it if you are in a country or region under comprehensive US sanctions, or on a US government list of sanctioned or restricted parties.
3. Accounts and sign-in
Signing in. You need a Noonum account to use the dashboard, the API and the connector. You sign in through our sign-in provider, Auth0 (Okta), with an email address and password or a Google or Microsoft account. Auth0 handles your password, and Noonum never receives it.
API keys. You can create and revoke API keys in the dashboard. Treat them like passwords and do not share them. Never paste an API key or a password into a conversation with an AI assistant. If a key may have been exposed, revoke it and create a new one.
Your responsibility. You are responsible for activity under your account and API keys, unless it results from our failure to protect them. If you think someone has used your account or a key without permission, revoke the affected keys and tell us at hello@noonum.com.
Accounts managed by your organization. If your organization manages your account, it can see your account details and manage your API keys. Your agreement with that organization may add its own rules. These Terms still apply.
4. Plans and credits
Plans. Every new account starts on the default plan, which is free. Paid plans are available only by separate agreement. To change your plan, contact hello@noonum.com. The dashboard shows your plan, your credits and when they next refill.
Credits. A “run” is one pass of Noonum’s engine over a version of a strategy for one date.
- One run uses one credit. A run that fails uses none.
- Credits refill at the start of each monthly period. Unused credits do not roll over.
- When your credits run out, you cannot start new runs until they refill. You can still read your results.
- Credits have no cash value. You cannot sell, transfer or exchange them.
- Your plan and credits are the same in the dashboard, the API and AI assistants. Using Noonum through an AI assistant costs nothing extra.
No purchases inside AI assistants. You cannot buy plans or credits inside Claude, ChatGPT or Codex. Noonum does not collect payment card details.
Changes to plans. We may change the default plan, including its credits and features. If a change reduces what your plan includes, we will email you before it takes effect. A paid plan follows the change rules in its own agreement.
5. Using Noonum through AI assistants
The assistant provider’s terms also apply. Claude, ChatGPT, Codex and other AI assistants are their providers’ products, not Noonum’s. The provider’s terms and privacy policy cover your use of the assistant, including your conversation. The assistant sends Noonum only the inputs of the Noonum tools it calls. Noonum does not receive your conversation history, the assistant’s memory, or files you share with the assistant.
You are responsible for the assistant’s actions. Once you connect, the assistant acts under your Noonum account on your instructions. You are responsible for those instructions and for what the assistant does through your connection, whether or not it asked you first. That includes credits spent and strategies changed or archived. Check what the assistant proposes before you approve it. You can restore a strategy archived by mistake within 30 days.
Only the tool results come from Noonum. An assistant can misread Noonum’s results or add its own content. Noonum is not responsible for what the assistant writes on its own or for changes it makes to Noonum’s results.
Teams and disconnecting. If your organization adds the connector for a team, each member signs in with their own Noonum account, and members do not share strategies through it. You can disconnect Noonum at any time in your assistant’s settings.
No affiliation. Noonum is not affiliated with or endorsed by Anthropic or OpenAI. Claude is a trademark of Anthropic. ChatGPT and Codex are trademarks of OpenAI.
6. Research, not investment advice
- Noonum is a research tool. It is not registered as an investment adviser or as a broker-dealer.
- Noonum does not give personalized investment advice or make buy, sell or hold recommendations. A company’s place in a ranked list is not a recommendation about its securities. Nothing in the service is an offer to buy or sell any security.
- Noonum does not place trades, hold funds, move money or connect to brokerage accounts.
- Scores are relative. Scores such as conviction score, linguistic beta and market buzz compare companies within one strategy only. They are not company ratings, return forecasts or risk measures. Linguistic beta is not market beta.
- Performance is hypothetical. Returns, drawdowns and performance charts are calculated after the fact, with hindsight. They do not show actual trading and are not a track record. Past performance, actual or hypothetical, does not predict future results.
- You make your own decisions. You alone are responsible for your investment decisions and for how you use Noonum’s output. Consider your own situation and consult a licensed financial professional before you invest.
7. AI-generated output
“Output” is what the service produces for you with AI models, including rankings, scores, reasoning, evidence summaries, rewritten or drafted objectives, and factsheets. An objective you save becomes your content (Section 8).
- Output can be inaccurate, incomplete or out of date. It can include companies that do not fit your objective, or leave out companies that do.
- Reasoning and evidence summaries can misstate or leave out what a source says.
- Output may not be unique. Other users can get similar or identical output.
- Check output against the original sources and your own analysis before you rely on it.
8. Your content
What it is. “Your content” is what you submit to Noonum: strategy names, objectives, exclusions, waivers, tags and filters; text and links you submit to draft or rewrite an objective; portfolios and holdings you upload or build; and inputs an AI assistant sends to Noonum for you.
You own it. You keep ownership of your content.
The permission you give us. You give Noonum a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit and display your content. We use this license only to:
- run your strategies and show you the results;
- keep every version of a strategy reproducible and auditable;
- provide features you ask for, such as rewriting an objective, drafting a strategy from a link, factsheets and CSV exports;
- provide, secure and support the service; and
- operate the service with our service providers, including AI model providers such as OpenAI and Google, which process your content for us. Our subprocessors page (https://noonum.ai/subprocessors) lists the providers that process customer data.
The license ends when your content is deleted, except for the limited records and backups described in the Privacy Policy.
No training on private content. Noonum does not train AI models on your private strategy content, and neither do our AI model providers, OpenAI and Google, under their API terms for business customers.
Who can see it.
- Other users cannot see your private strategies. Noonum staff access your private strategies only to provide, secure and support the service, or when you ask us to.
- Noonum publishes a public catalog of strategies that all signed-in users can see. We will not publish your strategy in it without your permission.
- If you make a portfolio public, all signed-in users can see it and its holdings, without your name. Make a portfolio public only if you are allowed to share it.
Your responsibility. You confirm that you have the rights you need to submit your content, and that our use of it under these Terms will not break the law or anyone’s rights.
Deleting content. You can delete a strategy at any time. It is archived first, and you can restore it within 30 days. After that it is permanently deleted. A portfolio is deleted as soon as you delete it. The Privacy Policy explains what we keep and for how long.
9. Noonum’s service, data and third-party content
What Noonum owns. Noonum and its licensors (companies that license data or technology to us) own the service and everything in it except your content. That includes the software, the engine, scores, rankings, reasoning, evidence summaries and other data, and the Noonum name and logo. These Terms give you only the limited right of use they describe.
Third-party content. Evidence consists of short AI-written summaries of public documents from third-party sources, such as regulatory filings, news and patents. Market data, such as prices and market capitalization, comes from licensed data providers. The original documents and data belong to their owners, and a summary is not the original. We do not control these sources or promise that they are accurate, complete or current, and we may add, change or remove them.
What you may do. As long as you follow these Terms, you may use the service and its output for your own research. You may share output, such as factsheets and reports, with colleagues and clients in the normal course of your business. When you do, keep the notices, source names, dates and disclaimers that come with it, and tell clients that AI was used to produce it. If you use output in a recommendation to a client, have a qualified person review it before the client receives it. You are responsible for following the laws and rules that apply to you.
What you may not do. You may not:
- collect data from Noonum in bulk beyond what your own research needs, for example to build a copy of Noonum’s data;
- use bots or other automated tools on the dashboard (to automate your work, use the API or the connector);
- sell, resell, rent or license the service, its output or its data;
- redistribute output or data as a dataset or data feed, or inside your own product; or
- use the service, its output or its data to build a competing product or to train or fine-tune AI models.
To use Noonum data in other ways, contact hello@noonum.com about a separate agreement.
10. The Noonum plugin’s license
The Noonum plugin’s code is licensed under the Apache License 2.0, an open-source license. That license covers the plugin code only. It gives you no rights to the Noonum service, its output or data, or the Noonum name and logo. These Terms cover your use of the service, including through the plugin.
11. Acceptable use
Do not do the following, or help anyone else do it:
- Break any law or regulation, including securities and data protection laws, or infringe anyone’s intellectual property, privacy or other rights.
- Send malware or other harmful code, including text designed to manipulate AI systems (“prompt injection”).
- Probe, scan or test the security of the service without our written permission. Report security vulnerabilities to hello@noonum.com.
- Get around credit limits, plan limits, access controls or safety measures, for example by creating extra accounts for more credits or trying to reach another user’s private data.
- Overload or interfere with the service.
- Share your account, sign-in or API keys. Each person needs their own account.
- Copy, modify or reverse engineer the service, except the plugin code under its open-source license (Section 10) or where the law allows it.
- Use output to make automated decisions with legal or similarly significant effects on people, such as decisions about credit, jobs or insurance, without meaningful human review.
- Use output to give others personalized investment advice that requires a license, unless a licensed professional is involved as the law requires.
- Break the usage policies of the AI model providers that power the service, such as OpenAI’s Usage Policies, or of the AI assistant you use Noonum through, such as Anthropic’s Usage Policy.
- Pretend to be another person or organization, or misrepresent your connection with one.
12. API and connector use
- Use the REST API and the connector only through their documented interfaces at https://docs.noonum.ai. Do not use undocumented or internal endpoints.
- We may set or change limits on the API or the connector, such as the number of requests or runs.
- We may change, limit, suspend or retire API versions, endpoints, connector tools and features. When a change would break documented behavior, we will try to give notice in advance where practical.
13. Feedback
You may send us ideas, suggestions or bug reports, for example through “Give feedback” in the dashboard or by email. We may use feedback without any obligation to you, including payment. Feedback is not confidential and is not part of your content.
14. Changes to the service
We may add, change or remove features, data sources, AI models and providers, and supported AI assistants. If we plan to remove a major feature or stop offering the service, we will try to tell you in advance where practical, so you can export what you need.
15. Suspension and termination
By you. You can stop using Noonum, disconnect AI assistants and revoke API keys at any time. To close your account, email hello@noonum.com from your account’s email address. Within 30 days we delete your account and its data as described in the Privacy Policy, and confirm when it is done. Closing your account deletes your strategies without the 30-day restore window, so download what you want to keep first. You can also ask hello@noonum.com for a copy of your data.
By Noonum. We may suspend or limit your access, or close your account, if you break these Terms, if your use creates a security, operational or legal risk for the service, other users, third parties or Noonum, or if the law requires it. Where practical, we will tell you before we act and give the reason, unless the law or a security risk prevents it. We may restore suspended access once the problem is fixed.
After termination. Your right to use the service ends. You may keep using output you downloaded before then, as Section 9 allows. Sections 6, 7, 9, 13 and 16 to 22 still apply. Section 8 still applies to any content we keep as the Privacy Policy describes.
16. Disclaimers
To the fullest extent the law allows:
- Noonum provides the service “as is” and “as available.”
- Noonum disclaims all warranties, express or implied, including implied warranties of merchantability (fit for ordinary use), fitness for a particular purpose, title and non-infringement.
- We do not promise that the service will be uninterrupted, timely, secure or free of errors, or that output, evidence or data will be accurate, complete, current or suitable for your purposes.
- We are not responsible for third-party services you choose to use with Noonum, such as AI assistants and Google or Microsoft sign-in, or for third-party content.
17. Limitation of liability
To the fullest extent the law allows:
- Noonum, its licensors and its service providers are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, such as lost profits, revenue, business opportunities, goodwill or data, even if told such losses were possible.
- Noonum is not liable for losses from investment or trading decisions you make using the service.
- Noonum’s total liability for all claims relating to the service or these Terms is limited to the greater of (a) the fees you paid Noonum for the service in the 12 months before the event that gave rise to the claim, or (b) US$100.
These limits do not apply to liability for fraud, gross negligence or willful misconduct, or for death or personal injury caused by negligence. Where a law does not allow some of these limits, they apply only as far as that law allows.
18. Indemnity
To the extent the law allows, you will defend and indemnify (cover the losses and costs of) Noonum and its directors, officers and employees against third-party claims arising from your content or your breach of these Terms, including resulting losses, damages, costs and reasonable legal fees. We will tell you promptly about any such claim, let you control the defense, and cooperate reasonably. You may not settle a claim in a way that admits fault for Noonum or requires Noonum to act, unless we agree in writing.
19. If you are a consumer
You are a consumer if you use Noonum for purposes outside your trade, business or profession. The laws where you live may give you rights that a contract cannot take away, and nothing in these Terms affects them. For example, if you live in the European Union or the United Kingdom, your country’s mandatory consumer protection laws still apply. The disclaimers, limits of liability and indemnity in these Terms apply only as far as those laws allow, and you may be able to bring a claim in your local courts as well as the courts in Section 20.
20. Governing law and courts
Washington State law and applicable US federal law govern these Terms and any dispute about them or the service, without regard to conflict-of-law rules. The state and federal courts in King County, Washington, will decide any dispute, and you and Noonum agree to their jurisdiction. There is no arbitration clause. Section 19 can give consumers additional rights.
21. Changes to these Terms
We may update these Terms and will post the new version at https://noonum.ai/terms with a new effective date. For a material change, meaning one that significantly affects your rights or obligations, we will email you before it takes effect. Changes do not apply to disputes that arose before they took effect. If you keep using Noonum after a change takes effect, you accept the updated Terms. If you do not agree, stop using Noonum and close your account (Section 15).
22. General terms
- Entire agreement. These Terms, together with any separate signed agreement (Section 1), are the entire agreement between you and Noonum about the service.
- Severability. If a court finds part of these Terms unenforceable, that part is changed as little as needed or removed, and the rest stays in effect.
- Assignment. You may not transfer these Terms or your account without our written consent. Noonum may transfer them as part of a merger, acquisition, reorganization or sale of assets, or to a company it controls or that controls it.
- No waiver. If we do not enforce part of these Terms, we can still enforce it later.
- Force majeure. Neither side is responsible for failures or delays caused by events beyond reasonable control, such as natural disasters, war, labor disputes, government action, or outages of the internet or of hosting or AI model providers.
- Notices. We send notices to your account’s email address. Send notices to Noonum, including legal notices, to hello@noonum.com.
